Welcome to the beIN SPORTS web site.  These Terms of Use apply to the beIN SPORTS web site located at beINSPORTS.tv and all other sites, services, and tools where these Terms of Use appear or are linked to, including but not limited to the beIN SPORTS mobile application (collectively, the “Site”).  beIN SPORTS, its parent, subsidiary, and affiliated companies (collectively “beIN SPORTS,” “Us,” Our” or “We”) maintain this Site for Your personal entertainment, information, education, and communication.  PLEASE READ THESE TERMS OF USE CAREFULLY.  By browsing and using this Site, or installing and using Our mobile application (“Application”), You are agreeing to comply with and be bound by the following terms and conditions of use (the “Terms of Use”), which govern beIN SPORTS' relationship with You in relation to Our Site and Our Application.  If You disagree with any part of these terms and conditions, please do not use Our Site or Application.  The term “You” or “Your” refers to the user or viewer of this Site or Application.

1.         USE OF CONTENT

All information, materials, functions, services, Applications, and other content contained in or offered through this Site (collectively the “Content”) are the property of beIN SPORTS or its licensors.  Some of this Content may only be accessed by means of certain Applications that You must download, or through the purchase of subscriptions or payment of fees (“Paid Services”).  Subject to Your compliance with these Terms of Use, and the payment of any applicable fees for Paid Services, beIN SPORTS hereby grants, and You hereby accept, a limited, non-exclusive, non-transferable license to access and view the Content posted on this Site for Your personal, private and non-commercial use, and in the case of beIN SPORTS Application to download a single copy of that Application to Your mobile device solely for viewing the Content through that device.  You may not transfer, resell, or sublicense this limited right to any third party.  Content may not be publicly displayed, performed, exhibited, or broadcast.  You acknowledge that You do not acquire any ownership rights by downloading or viewing copyrighted material.

The use of certain features accessible on this Site, including but not limited to certain streaming services, may also be subject to other terms, conditions, and policies (collectively, “Additional Policies”) that may be posted on the Site from time to time.  By accessing or using the additional features, You agree to and accept those Additional Policies.  In the event of any conflict between these Terms of Use and the Additional Policies, the Additional Policies shall control, unless they expressly state otherwise.

2.         NOTIFICATION OF CHANGES

beIN SPORTS reserves the right, in its sole discretion, to amend the Terms of Use with notice, and to modify, add, amend, or terminate any aspect or feature of this Site with or without notice.  Notice may be provided to You by posting on this Site, via email, or other means for thirty (30) days after the modification, amendment, or deletion.  Your continued use of this Site shall constitute Your binding acceptance of any such amendments, modifications, additions, or deletions.  If You do not accept such changes, Your only recourse is to cease Your use of this Site.

You further agree that beIN SPORTS may impose limits on certain features or restrict Your access to part or all of the Content without notice or liability to You.  We may add additional features to the Site that require payment or convert existing features to Paid Services.  You agree that free access to all or a portion of the Site or Content at a point in time does not give You a right to continued free access to any or all of the Site or Content.  You have no interest, monetary or otherwise, in any feature or Content contained on the Site.

3.         RULES OF CONDUCT

By browsing and using this Site, You agree to the following “Rules of Conduct”.  You will not:

• Post, transmit, promote, or distribute content that is illegal or encourages illegal activities, or is defamatory, abusive, harassing, threatening, bigoted, hateful, racially or otherwise offensive, invasive of personal privacy or publicity rights, violent, vulgar, obscene, pornographic, sexually explicit, or harms or can reasonably be expected to harm any person or entity.
• Use abusive, offensive, or defamatory screen names and/or personas.
• Engage in disruptive behavior in chat areas, message boards, or public forums.
• Impersonate another person (including celebrities), indicate falsely that You are a beIN SPORTS employee or representative, or attempt to mislead users by indicating that You represent beIN SPORTS or any of beIN SPORTS’ partners or affiliates.
• Attempt to get a password, account information, or other private information from anyone else on or through the Site.
• Post or transmit unsolicited advertising, promotional materials, or other forms of solicitation in the forums.
• Upload files that contain a virus or other computer programs that may damage, interfere with, mine, or disrupt this Site or its Content.
• Post messages for any purpose other than personal communication, including advertising or promotional messaging, chain letters, pyramid schemes, or other commercial activities.
• Copy, photocopy, reproduce, translate, modify, adapt, create derivative works based on, or reverse engineer, derive source code from, disassemble, decompile, or otherwise attempt to discover the source code of, the Site or any Applications offered through the Site, in whole or in part, except to the extent required by applicable law.
• Engage in any activity that interferes with or disrupts the Site or beIN SPORTS’ or its vendors’ servers or other infrastructure.
• Copy, edit, sub-license, reproduce, distribute, publish, display, perform, exhibit, or create derivative works of the Site or Content without Our permission.

You must also obey all federal, state, and local laws, regulations and rules that apply to Your activities when You use the Site.  beIN SPORTS reserves the right to terminate Your Account and to prevent Your use of any and all services if Your Account is used to engage in illegal activity or to violate these Terms of Use or the Rules of Conduct.

beIN SPORTS may, but is not obligated to, monitor or record any online activity on the Site, including communications.  However, beIN SPORTS reserves the right to access and/or record any online activity on the Site and You give beIN SPORTS Your express consent to access and record Your activities.  beIN SPORTS reserves the right to remove any Content from any beIN SPORTS service in its sole discretion.  beIN SPORTS has no liability for Your or any third party's violation of these Terms of Use.

4.         PRIVACY

Your privacy is important to Us.  We may collect information from You related to Your use of this Site.  Please read the Privacy Policy available at www.beinSPORTS.com/privacy-policyfor more information.  By using this Site You agree to and accept that Privacy Policy.

5.         THIRD PARTY LINKS

From time to time, this Site may include links to other web sites or allow You to link to and Interoperate with third party software applications and data services (collectively, “Third Party Sites”).  These links are provided for Your convenience.  They do not signify that We endorse any such Third Party Sites.  beIN SPORTS has no control over any Third Party Sites.  We have no responsibility for the content of, or services or products offered through, any Third Party Site or their information collection practices or the personal information they may collect from You.  You should review the privacy policies and terms of use of such Third Party Sites before using them.  You acknowledge and agree that beIN SPORTS is not liable for any loss or damage which may be incurred by You as a result of any reliance placed by You on the completeness, accuracy, or existence of any advertising, products, or other materials on or available from Third Party Sites.

6.         REGISTRATION

You may be required to create an account (“Account”) to access some Content on this Site.  You must provide truthful, complete, and accurate information when creating Your Account and You must promptly update Your Account information if it should change at any time.  You will be issued a user id and password to access Your Account; this user id and password is the confidential information of beIN SPORTS.  You should not reveal or disclose Your Account user id or password to any other person or entity.  You are solely responsible for all activity on Your Account.  Your Account may be terminated if someone else uses it to engage in activity that violates these Terms of Use or any Additional Policies or is otherwise improper or illegal.  If Your Account is terminated, You are not entitled to a refund for any fees You have paid, and You will lose access to Your Account.

As part of some services on the Site, you may receive push notifications, email messages, text messages, MMS messages, or other types of messages directly sent to You (“Push Messages”). You may control the Push Messages in Your device’s settings.  Some of the Push Messages may be related to Your location or to Your use of the Application or Content.  Your carrier may charge standard messaging, data, and other fees for use of Push Messages, and these fees may appear on Your mobile bill or be deducted from Your pre-paid balance.  Your carrier may prohibit or restrict certain Push Messages and certain Push Messages may be incompatible with Your carrier or mobile device.  Contact Your carrier with questions regarding these issues.  You may discontinue Push Messages in Your device’s or the Application’s settings or by deleting the Application.  We may collect information related to Your use of Push Messages.  If You have registered for Push Messages, You agree to notify beIN SPORTS of any changes to Your mobile number, as applicable, and update Your Account to reflect this change.

7.         USER GENERATED CONTENT

Certain of the services offered through the Sites may allow users to post or provide their own content, including but not limited to feedback, comments, text, photos, videos, audio, or other commentary during games (collectively, “User Generated Content” or “UCG”).  You are solely responsible for Your UGC and may be held liable for UGC that You post.  You must have the legal right to upload UGC.  You may not upload or post any UGC on any services that infringes the copyright, trademark, trade secret, or other intellectual property rights of a third party nor may You upload UGC that violates the law, these Terms of Use, and/or any third party's right of privacy or right of publicity.  You may upload only UGC that You are permitted to upload by the owner or by law.  beIN SPORTS may, without prior notice to You and in its sole judgment, remove UGC that may infringe the intellectual property or other rights of a third party. 

When You contribute UGC to any beIN SPORTS Site, You expressly grant to beIN SPORTS and its licensors a non-exclusive, perpetual, worldwide, complete, sub-licensable, and irrevocable right to quote, re-post, publish, use, adapt, translate, archive, store, reproduce, modify, create derivative works from, syndicate, license, print, sublicense, distribute, transmit, broadcast, and otherwise communicate, and publicly display and perform the UGC, or any portion thereof, in any manner or form and in any medium or forum, whether now known or hereafter devised, without notice, payment, or attribution of any kind to You or any third party.  You grant beIN SPORTS and its licensors all licenses, consents, and clearances to enable beIN SPORTS and its licensors to use such UGC for such purposes.  You waive and agree not to assert any moral or similar rights You may have in such UGC.

If the beIN SPORTS Site or service on which You contribute UGC permits other users to access and use that UGC as part of the service, then You also grant all other users of the relevant service the right to use, copy, modify, display, perform, create derivative works from, and otherwise communicate and distribute Your UGC on or through the relevant service without further notice, attribution, or compensation to You.

8.         INTELLECTUAL PROPERTY

You acknowledge and agree that beIN SPORTS or its licensors, own all right, title, and interest in and to the Site, including all intellectual property rights associated with the Site.  The Site is protected by the copyright laws of the United States, international treaties and conventions, and other laws.  Except for the limited license expressly stated herein, You have no intellectual property rights in the Site and beIN SPORTS reserves all rights not expressly granted to You.  You must comply with all laws when using the Site as well as all applicable copyright, trademark, or other legal notices or restrictions.

            A.        Trademarks

The trademarks, logos, and services marks (collectively the “Trademarks”) displayed on the Site are registered and unregistered Trademarks of beIN SPORTS and others.  Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on this Site without the written permission of beIN SPORTS or such third party that may own the Trademarks displayed on this Site.  Your misuse of the Trademarks displayed on the Site, or any other Content on the Site, except as provided in these Terms of Use, is strictly prohibited.  You are advised that beIN SPORTS will aggressively enforce its intellectual property rights to the fullest extent of the law, including terminating Your Account and seeking criminal prosecution, and will notify third parties of any misuse of their Trademarks displayed on this Site.

            B.        Copyrights

All Content contained on this Site is the copyrighted material of beIN SPORTS or the copyrighted material of Our licensors.  Except as specified herein, no Content from this Site may be used, reproduced, transmitted, distributed, or otherwise exploited in any way.  All rights in the Content are expressly reserved by beIN SPORTS and its licensors.

            C.                    Copyright infringement

beIN SPORTS respects the copyright of others and expects users of this Site to do the same.  In accordance with the Digital Millennium Copyright Act (“DMCA”), the text of which may be found on the U.S. Copyright Office site at http://www.copyright.gov/legislation/dmca.pdf, beIN SPORTS will respond expeditiously to notices of alleged copyright infringement relating to this Site that are duly reported to the Designated Copyright Agent (“Copyright Agent”) identified below.  beIN SPORTS will disable and/or terminate the Accounts of users who are repeat infringers, with or without providing notice.

If You believe that the Site or any user of this Site has infringed Your copyright, please notify the Copyright Agent and provide the following information in writing (the “Notice”):

1.  An identification of the copyrighted work that You claim has been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.

2.  An identification of the material on the Site that You claim is infringing or is subject to infringing activity that is to be removed or access to which is to be disabled, with enough detail (including, without limitation, the URL of the material) to allow Us to locate the material on the Site.

3.  Your name, address, telephone number, and email address.

4.  A statement by You that You have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

9.         TERMINATION

These Terms of Use are effective until terminated. You may terminate at any time by: (i) for the Application, irretrievably erasing, deleting, or destroying all copies of the Application in Your possession or control; (ii) for the Site, ceasing all use of the Site and irretrievably erasing, deleting, or destroying all content that You obtained from the Site.  beIN SPORTS may, in its sole discretion, terminate Your Account or access to the Site without prior notice and for any reason, including, but not limited to any violation of these Terms of Use, any violation of the law, or any third party’s rights.  Upon termination for any reason, the license granted in Section 1 will immediately terminate.  The provisions of Sections 3, 4, 5, 6, 7, 8, 10, 11, 12, 13, 14, and 15 will survive any termination.

10.       DISCLAIMERS OF WARRANTIES

WHILE beIN SPORTS USES REASONABLE EFFORTS TO INCLUDE UP TO DATE INFORMATION ON THIS SITE, NEITHER WE NOR ANY THIRD PARTIES PROVIDE ANY WARRANTY OR GUARANTEE AS TO THE ACCURACY, TIMELINESS, PERFORMANCE, AVAILABILITY, COMPLETENESS, OR SUITABILITY OF THE SITE, CONTENT, INFORMATION, AND MATERIALS FOUND OR OFFERED ON THE SITE FOR ANY PARTICULAR PURPOSE.  THE CONTENT, APPLICATION, MATERIALS, PRODUCTS, AND SERVICES PROVIDED ON THIS SITE ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE SITE IS AT YOUR OWN RISK.  IF YOU ARE DISSATISFIED WITH THE SERVICES, PRODUCTS, OR CONTENT OF THIS SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THIS SITE.

11.       LIMITATION OF LIABILITY/RELEASE OF CLAIMS

YOU ACKNOWLEDGE AND AGREE THAT IF YOU INCUR ANY DAMAGES THAT ARISE OUT OF beIN SPORTS’S ACTS OR OMISSIONS, THE DAMAGES, IF ANY, ARE NOT IRREPARABLE AND ARE NOT SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR OTHER EQUITABLE RELIEF RESTRICTING EXPLOITATION OF ANY WEB SITE, PROPERTY, PRODUCT, PROGRAM, TELEVISION SHOW, MOTION PICTURE, OR OTHER AUDIO/VISUAL CONTENT OWNED, CONTROLLED, OR DISTRIBUTED BY beIN SPORTS, INCLUDING WITHOUT LIMITATION THE APPLICATION.

12.       INDEMNIFICATION

You agree to defend, indemnify and hold harmless beIN SPORTS its affiliates and their respective directors, officers, owners, employees, agents, information providers, service providers, vendors, contractors, affiliates, partners, and licensors (collectively, the “beIN SPORTS Parties”) from and against all liability, losses, costs, and expenses (including attorneys' fees) incurred by any of the beIN SPORTS Parties in connection with any claim, including, but not limited to, claims for defamation, violation of rights of publicity or privacy, copyright infringement, or Trademark infringement arising out of: Your use of the Site; Your use of the Application; Your UGC; any use or alleged use of Your Account or Your passwords by any person, whether or not authorized by Your; Your connection to beIN SPORTS’s or its vendors’ servers; Your violation of these Terms of Use; or Your violation of the rights of any other person or entity.  beIN SPORTS reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which You are required to indemnify beIN SPORTS, and You will cooperate with beIN SPORTS’s defense of these claims.

13.       EXPORT CONTROL

The supply of Applications, goods, services, or Content through this Site may be subject to United States export control and economic sanctions requirements.  By acquiring any such items through this Site, You represent and warrant that Your acquisition comports with, and Your use of the item will comport with the United States Export Administration Act or any other export laws, restrictions, or regulations.  Without limiting the foregoing, You may not acquire Content, goods, services, or software through this Site if: 1) You are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan, Syria, other embargoed nation, or nation that has been designated by the U.S. government as a “terrorist supporting” country, or if You are on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List, Unverified List, or Entity List; or 2) You intend to supply the acquired goods, services, or software to Cuba, Iran, North Korea, Sudan, Syria (or a national or resident of one of these countries), or other embargoed nation, or nation that has been designated by the U.S. government as a “terrorist supporting” country, or to a person on the Specially Designated Nationals List, Denied Persons List, Unverified List, or Entity List.

14.       DISPUTES

Your use of this Site and any dispute arising out of such use of the Site, and all issues concerning the interpretation, validity, and enforceability of these Terms of Use, is subject to the laws of the state of Florida, and the United States of America, without regard to its choice of law rules.  These Terms of Use and Your use of the Application will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, or the Uniform Computer Information Transactions Act, if applicable.  The exclusive jurisdiction for any dispute arising out of or relating to the Site, or these Terms of Use, shall be a court of competent jurisdiction located in Miami, Florida, USA.  By using this Site You agree to submit to personal jurisdiction in the state of Florida.  Notwithstanding any other provision of these Terms of Use, We may seek injunctive or other equitable relief from any court of competent jurisdiction.

Regardless of any statute or law to the contrary, You must file any claim or action related to use of these Terms of Use within one (1) year after such claim or action accrued.  Otherwise, You will waive the claim or action.

15.           SUBSCRIPTION CONTENT

Certain Paid Services are only available to users of a beIN SPORTS Site who have agreed to pay to use the Paid Services on a subscription basis in order to access certain Content (“Subscription Content”). The following terms apply to Subscription Content:

a. Pricing. All prices listed on a beIN SPORTS Site for the Paid Services are in Canadian dollars. Prices and availability of Subscription Content are subject to change at any time.

b. Agreement to Pay. You agree to pay for all Subscription Content subscribed through your account. Payment must be made using a valid and accepted credit card. By paying by credit card, you authorize us to charge the credit card that you provide to us the amount representing the price of the Subscription Content that you ordered (plus applicable taxes), which may be a single payment or, if and when available, on a monthly basis, as indicated when you subscribe. If you have pre-authorized payments of Subscription Content on your credit card, you agree to promptly update any information necessary to ensure that the payments are processed and acknowledge that you may not be able to access the Subscription Content if you fail to do so. If your Subscription Content includes a free trial, then you acknowledge that your credit card will be authorized for up to the amount representing the price of the Subscription Content during the free trial, however, your credit card will not be charged until after the end of the free trial. In the event of a credit card chargeback, the Subscription Content will not be accessible until resolution of the chargeback and there will be no refund for the period that your Subscription Content is inaccessible.

c. Additional Terms. Additional terms and conditions applicable to Subscription Content (“Subscription Terms”), including, without limitation, the length of the subscription period and any automatic renewals, will be presented to you prior to subscribing. If you subscribe to Subscription Content, then any applicable Subscription Terms will form part of our agreement with you.

d. Automatic Renewals. Please note that, unless otherwise specified in the Subscription Terms, Subscription Content renews automatically at the end of your subscription period. Unless you cancel any automatically renewing Subscription Content, you understand your subscription will automatically renew and you authorize us (without further notice to you) to charge the renewal subscription price (plus applicable taxes) to your credit card.

e. Refunds. All Subscription Content sales are final: there are no refunds, exchanges or credits for any reason.

f. Multiple users. You agree that your access to Subscription Content may be restricted to simultaneous access on two or fewer distinct devices at one time and we reserve the right to force a log off for your account in the event we determine at any time, in our sole discretion, that your account has been simultaneously logged into on more distinct devices than permitted. You agree that you are solely responsible for any fees, overages, penalties or other costs charged to you by any third party internet, cellular or other communications/data provider.

16.       MISCELLANEOUS

These Terms of Use constitutes the entire agreement between the parties with respect to its subject matter and supersedes any prior oral or written agreements.  We may be required by state or federal law to notify You of certain events.  You hereby acknowledge and agree that such notices will be effective upon Our posting them on the Site or delivering them to You via email, if You have provided Your email address to Us.  If You do not provide Us with accurate information or We do not have access to Your email address, We will not be responsible for failure to notify You.  If any part of these Terms of Use is determined to be invalid or unenforceable under applicable law, that provision will be removed, and the remainder of the Terms of Use will continue to be valid and enforceable, except as expressly stated.  Our failure to exercise or enforce any right or provision in these Terms of Use will not constitute a waiver of such right or provision.  Except as otherwise required by law, the controlling language of these Terms of Use is English.  These Terms of Use will be binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.  Any waiver of any provision of these Terms of Use will be effective only if in a writing signed by beIN SPORTS or its authorized representative.
